These Terms of Service are a contract between you and Archstone Labs Ltd (company number 17041943), trading as Valgrind (“Valgrind”). Registered office: 20 Wenlock Road, London, N1 7GU, United Kingdom. They apply from 12 October 2026.
By creating an account, starting a trial, enabling a product, or paying for a plan you agree to these Terms, the Acceptable Use Policy, the Privacy Notice, and the Data Processing Addendum. That clickwrap applies to every Valgrind product you use, not only CRM.
1. The service
Valgrind is a business software platform. CRM and Verify are live. CRM includes contacts and companies, connected email and calendar, files, voice notes, call recordings, share links, legal hold, and mobile apps. Other products may be listed as coming soon or future until we enable them on your workspace.
We may change, add, or remove features. If a change is material and adverse to paying customers we will give reasonable notice, except where we must act faster for security or law.
2. Public beta
CRM is offered as a public beta. Beta software may be incomplete, change without notice, or contain errors. It is provided as-is. Do not rely on beta features as your only system of record without your own backups.
3. Accounts and workspaces
- Valgrind is for companies and for individuals who operate a business (including sole traders). You must provide company information at signup.
- You must provide accurate account information and keep credentials safe.
- You are responsible for users you invite and for activity in your workspace.
- You must be able to form a contract. If you buy for a company, you represent that you can bind it.
- We may suspend access for non-payment, AUP breach, legal risk, or to protect the service.
4. Customer Content
You retain all rights in data you or your users submit to the workspace (“Customer Content”). You grant us a limited licence to host, copy, transmit, display, and process Customer Content solely to provide, secure, and support the service, including AI agents that you ask to act on that data.
You represent that you have a lawful basis to submit Customer Content, including personal data of your contacts and people you verify. For that personal data you are the controller and we are the processor, as set out in the DPA. We just host it.
We do not use Customer Content to train our models or anyone else’s. We do not claim ownership of your records. Valgrind staff cannot assume your identity or open your workspace as you.
5. Verify
Valgrind Verify lets you run KYC, KYB, and AML checks. You remain the controller of the people and companies you check. We process those checks as your processor.
We use an identity-verification provider as a subprocessor for those checks. That provider’s terms apply to that slice of processing. We will name the current provider to a customer on request. You must not use Verify unless you have a lawful basis, including any consent or notice the law requires for biometrics, recording, or screening.
Verify helps you run your own compliance programme. It does not make Valgrind your regulated AML officer, and it does not replace your own policies, licences, or filings.
6. Valgrind IP
We and our licensors own the service, software, documentation, and branding. These Terms do not transfer that IP. You may not copy, reverse engineer, or resell the service except as the law allows.
7. Fees, trials, and taxes
- CRM Free is three seats. Plus is a card-backed 14-day trial, then a paid plan. Platform apps are billed extra as described on the pricing page.
- Paid plans renew for the same term unless cancelled before the renewal date.
- Fees are exclusive of taxes. You are responsible for applicable VAT and similar taxes. We do not currently display a VAT number.
- If a payment fails we may retry, downgrade, or suspend the workspace after notice.
- Paid fees are non-refundable except where these Terms or the law require.
8. Availability
There is no public uptime promise on these Terms. Enterprise customers may get a separate SLA. The service depends on third parties (including Convex, WorkOS, Stripe, identity-verification providers, and storage vendors). If they are down, parts of Valgrind will be down. We will use reasonable efforts to restore service.
9. Acceptable use
You must follow the Acceptable Use Policy. We may remove content or suspend a workspace that violates it.
10. Confidentiality
Each party may receive confidential information of the other. The receiving party will use it only to perform this contract and will protect it with at least reasonable care. Customer Content is your confidential information. This section does not apply to information that is public, independently developed, or lawfully received from a third party.
11. Warranties and disclaimers
Each party represents that it has the power to enter this contract. You warrant that Customer Content and your use of the service will not violate law or third-party rights.
Except as expressly stated, the service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows. We do not warrant that the service will be uninterrupted or error-free, particularly during public beta or when a third-party provider fails.
12. Liability
Nothing in these Terms limits liability that cannot be limited under English law, including for death or personal injury caused by negligence, or for fraud.
Subject to that, neither party is liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data except to the extent caused by our failure to use reasonable security measures.
Each party’s total liability arising out of these Terms in any twelve-month period is limited to the fees you paid us for the service in that period. If you have paid no fees (including Free), that cap is one hundred pounds sterling (£100).
13. Indemnity
You will indemnify us against claims arising from Customer Content, Verify checks you start, your use of the service in breach of these Terms or the AUP, or your failure to have a lawful basis for personal data you submit.
14. Term and termination
These Terms start when you first use the service and continue until the account is closed. You may close a workspace from account settings or by emailing us. We may terminate for material breach if it is not cured within 30 days of notice, or immediately for AUP or legal risk.
On termination we will delete or return Customer Content as described in the DPA, except data we must keep for law, dispute, or backup rotation.
15. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without limiting any non-waivable rights you have in your country of residence.
